Adele Hogan is a corporate and transactional lawyer with decades of experience advising companies, boards, executives, investors, and financial institutions on significant transactions, financings, restructurings, and governance matters. She has worked on more than $200 billion in transactions over the course of her career, including complex M&A, securities offerings, capital markets transactions, restructurings, bankruptcies, and strategic financings.

Her practice is built on substantial experience both at leading international law firms and inside major financial institutions. She advises clients not only on how to structure and execute a transaction, but also on the legal, regulatory, governance, and business issues that can determine its outcome.

Adele represents public and private companies, financial institutions, private equity and other investors in mergers and acquisitions, securities offerings, financings, strategic investments, and other complex corporate transactions.

She has led transactions from initial structuring and due diligence through negotiation, documentation, board approval, financing, and closing. Her work spans financial services; private equity and alternative assets; technology, media and telecommunications; healthcare and life sciences; energy and mining; hospitality and gaming; transportation; and FinTech, including blockchain, digital assets, trading platforms, and exchanges.

Adele has significant experience at the intersection of corporate transactions and restructuring. She has led the corporate work for debtors and creditor constituencies in more than 30 restructuring or bankruptcy matters and has handled distressed M&A, Section 363 sales, prepackaged bankruptcy plans, DIP financings, backstop arrangements, debt restructurings, consent solicitations, credit agreement amendments, and debt and equity financings.

Her experience also includes major financial-institution restructurings involving capital and liquidity and the disposition of more than $100 billion of risk-weighted assets, as well as derivatives and payment netting matters arising from the Lehman bankruptcy. She has handled investigations and matters involving preferences, insolvency issues, and asset tracing.

Adele advises boards, executives, companies, and financial institutions on corporate governance, regulatory compliance, enterprise risk, and internal controls.

Her experience includes AML, OFAC sanctions, FCPA, fraud, derivatives, foreign exchange, benchmark matters, cybersecurity, data privacy, and data governance. She brings a transactional perspective to these matters, focusing on how governance and regulatory requirements affect actual business decisions, transactions, and risk.

Adele also serves as an expert witness and litigation consultant in complex corporate, financial, and transactional disputes.

Her work draws on decades of first-hand experience with how sophisticated transactions are negotiated, structured, financed, documented, approved, and completed. She provides independent analysis and opinions involving M&A, securities, corporate governance, financings, restructuring, bankruptcy, financial services, and established transactional and market practices.
